Terms of Service

These terms govern your use of the Perennus product and of perennus.com. They cover what the product is and is not, what you agree to when you connect a workspace, how Studio engagements relate to them, and where our responsibility ends. By creating an account or running a scan, you accept them.

1. The service

Perennus is operated by Isaac Olukoya, a sole operator based in Lagos, Nigeria. It has two parts:

• The product (at monitor.perennus.com) connects to a supported marketing platform with read-only access, analyses the lifecycle data already in your workspace, and reports where customers drop between stages, with findings and, where the evidence supports them, estimates.
• The Studio is a separate professional service: done-for-you lifecycle work, agreed and delivered under its own engagement agreement (see section 7).

The product is a diagnostic and reporting tool. It does not send email on your behalf, modify your campaigns, or change any data in your marketing platform.

2. Accounts

You must be 18 or older and able to enter a binding contract. You are responsible for keeping your login details secure and for everything done under your account. Tell us promptly if you think your account has been compromised. Give accurate information and keep it current; we may suspend accounts that use false details.

3. Connecting a workspace

You are responsible for making sure that connecting your workspace is consistent with your own privacy commitments to your contacts and with any law that applies to you. How we handle what we read is described in our Privacy Policy.

4. Estimates, not guarantees

Where the product puts a money figure on a finding, it is a modelled estimate. It is derived from the data in your workspace and from assumptions, which the product labels as assumptions wherever the figure appears. It is not a measurement of money you have lost, a promise of money you will recover, or a forecast to rely on for financial planning. Where the evidence does not support a figure, the product shows none.

Actual results depend on your market, product, pricing, your team’s execution, and factors outside the data we can see. Perennus does not provide financial, legal, tax or compliance advice. Findings that touch on regulation, such as unsubscribed contacts appearing in active segments, are diagnostic observations, not legal opinions, and should be reviewed with qualified counsel before you act on them.

5. Price

The product is currently free to use. Fair-use limits apply to how often a workspace can be read and diagnosed each day. On the free plan you currently see everything a scan produces; nothing is gated.

If we introduce paid plans, we will publish their price and what they include before charging anyone, and we will never charge you without your explicit agreement. If we reduce what the free plan includes, we will tell account holders before the change takes effect.

6. Paid plans and billing

This section applies only if you choose a paid plan once one is available. Paid plans will be billed in advance for each period and will renew automatically until cancelled. You will be able to cancel at any time; cancellation stops the next renewal, and your access continues until the end of the period you have paid for. Payments will be handled by Creem, our payment provider, whose own terms apply to the transaction. Except where the law requires a refund, fees already paid are non-refundable, but if the product has genuinely failed to deliver what you paid for, email us and we will make it right.

7. Studio engagements

Studio engagements, currently the Lifecycle Diagnostic, Lifecycle Build and Lifecycle Partnership, are professional services and are not part of the product. The scope, deliverables, timing, fees, confidentiality and data-handling terms of each engagement are set out in a separate agreement, which takes precedence over these terms for that work. A Studio engagement does not include product access unless its agreement says so, and product access does not include Studio work.

8. Research and website content

Perennus Research publishes independent studies of products we were not hired to work on. They are based on what we observed from the outside, on public information and on the sources we cite, as of the date of each study, and they state where the evidence stops. They are our analysis and opinion, not statements by the companies studied. Perennus is not affiliated with, endorsed by or sponsored by any company it studies, and quoting someone who responded to a study does not mean they or their company endorse its findings.

Case studies on this website describe specific past engagements. Their figures come from the sources stated with them, and they are not a representation that you will achieve comparable results.

9. Acceptable use

You agree not to:

• Connect a workspace you are not authorised to connect
• Reverse engineer, decompile, or attempt to extract the product’s analysis engine or its prompts
• Resell, sublicense or white-label product output as your own product without a written agreement
• Use automated means to scrape the product, or try to get around free-plan limits
• Interfere with the product, probe it for vulnerabilities without permission, or overload our infrastructure
• Use Perennus to break any law, or any term of your marketing platform’s own agreement

If you find a security vulnerability, email us rather than disclosing it publicly. We will not pursue good-faith security research that respects user data and gives us reasonable time to fix the issue.

10. Third-party platforms

The names of the marketing platforms Perennus works with are trademarks of their respective owners. Perennus is an independent service and is not affiliated with, endorsed by, sponsored by or certified by any of them; their names are used only to describe compatibility.

The product depends on those platforms’ APIs. If a platform changes, deprecates or restricts its API, or if your access to it lapses, some or all of the product may stop working for you. That is outside our control.

11. Intellectual property

We own Perennus: the software, the analysis methodology, the website, the research, and the brand. You get a limited, non-exclusive, non-transferable right to use the product while your account is in good standing. You may quote short extracts of our research with attribution and a link.

You own your workspace data and the reports generated for you. Use them internally however you like, including sharing them with your team, investors or clients. We may use anonymised, aggregated statistics across workspaces to build benchmarks and improve the product, in a form that does not identify you or your business.

12. Availability

We aim to keep the product running continuously, but we do not offer a service-level guarantee. Scans may be delayed or fail because of maintenance, platform rate limits, API outages or faults. Any scan schedule is a target, not a contractual commitment.

13. Disclaimer of warranties

The product and this website are provided “as is” and “as available”, without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that the product will be uninterrupted or error-free, or that any finding, score or estimate will be accurate or complete. Nothing in these terms excludes liability that cannot lawfully be excluded.

14. Limitation of liability

To the fullest extent the law allows, Perennus is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost data or business interruption, arising from your use of the product or this website, including any decision you make on the basis of a finding or estimate.

Our total liability arising out of or relating to the product is limited to the greater of the amount you paid us for the product in the twelve months before the claim arose, or one hundred US dollars. Liability for Studio engagements is governed by their own agreements.

15. Indemnity

You agree to indemnify and hold harmless Perennus and its operator against claims, damages and reasonable costs arising from your breach of these terms, your misuse of the product, or your connecting a workspace you were not authorised to connect.

16. Termination

You may stop using the product and delete your account at any time. We may suspend or close an account that breaches these terms, that we reasonably believe is being used unlawfully, or that has not paid for a paid plan. If we close a paid account without cause, we will refund prepaid fees for the unused part of the period. When your account closes, your right to use the product ends and your data is handled as described in our Privacy Policy.

17. Governing law

These terms are governed by the laws of the Federal Republic of Nigeria, and the courts of Lagos State have exclusive jurisdiction over any dispute, except where consumer protection law in your country of residence gives you the right to bring proceedings there. Before starting formal proceedings, both sides agree to try to resolve the dispute by email, in good faith, for 30 days.

If any provision of these terms is found unenforceable, the rest remains in force. Our not enforcing a provision is not a waiver of it.

18. Changes to these terms

We may update these terms. If a change is material, we will update the date at the top and notify account holders before it takes effect. Continuing to use Perennus after that means you accept the updated terms. If you do not, close your account.
